Terms of Service

Last updated: [DATE]

These Terms of Service ("Terms") are a binding agreement between you ("you", "your") and Blume Corporation ("Blume", "we", "us"). They govern your access to and use of the Blume desktop application, websites, and related services (together, the "Service").

By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least [16/18] years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and "you" includes that organization.

2. What the Service is

Blume is a desktop companion ("sidecar") for AI coding assistants. It helps you view and manage your AI coding sessions and agents, monitor plan usage and quota, manage agent-configuration files, and receive optional Automatic Improvements (AI-generated suggestions). Blume reads data produced locally by your AI coding tools and, where you connect them, retrieves usage information from your provider accounts.

Blume is an independent product and is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, Cursor, or any other third party referenced in the Service.

3. License

Subject to these Terms, Blume grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Service for your internal use. You may not:

  • copy, modify, distribute, sell, or sublicense the Service;
  • reverse engineer or attempt to extract source code except where this restriction is prohibited by law;
  • circumvent security, licensing, or usage limits;
  • use the Service to build a competing product; or
  • use the Service unlawfully or in violation of these Terms.

4. Third-party tools, accounts, and content

The Service interoperates with third-party AI coding assistants and services (e.g., Claude Code, OpenAI Codex, Cursor) and may read data those tools store on your device or retrieve information from your accounts with them.

  • Your use of those third-party tools and accounts is governed by their terms and privacy policies, not ours. You are responsible for complying with them and for having the rights to access and process the data involved.
  • Blume does not control and is not responsible for third-party tools, their availability, output, pricing, quotas, or data handling.
  • Some features consume your third-party plan’s usage, quota, tokens, or rate limits, which may incur cost on those accounts. You are responsible for those costs.

5. Your data; local-first processing

  • Local data. The Service primarily reads and stores data on your device (for example, your AI tools' local session data and a local Blume database). You retain all rights to your code, conversations, and content ("Your Content"). Blume claims no ownership of Your Content.
  • No code upload by us for core features. For its core and Automatic Improvements features, Blume does not transmit Your Content (source code or conversation contents) to Blume's own servers; analysis is performed locally and/or through the third-party AI tools you connect, under their terms. Limited product analytics are an exception (Section 8).
  • Your responsibility. You are responsible for the lawful collection and use of any data you process through the Service, including data belonging to employers, clients, or teammates.
  • See our Privacy Policy for details on data handling.

6. Credentials and security

To show usage and connect providers, the Service may store credentials, tokens, or cookies locally, using your operating system's secure storage (e.g., the OS keychain) where available. You are responsible for safeguarding your device and accounts. Blume is not liable for unauthorized access resulting from your device, OS, or account compromise. Do not share credentials you are not authorized to use.

7. AI features, Automatic Improvements, and beta

  • AI-generated output (including suggestions to change configuration or files) may be inaccurate, incomplete, or unsuitable and is provided for your review only. You are solely responsible for reviewing and for any changes you choose to apply, and for their effects on your code, tools, and repositories. Changes are applied only when you explicitly choose to apply them; some suggestions install automatically-executing commands (hooks). Review these especially carefully.
  • Features labeled beta, preview, or experimental may be unstable, change, or be removed, and are provided with no commitment.
  • The Automatic Improvements feature is additionally governed by the [Insights Feature Terms], which are incorporated by reference.

8. Telemetry and crash reporting

If enabled, the Service collects limited usage analytics and crash/diagnostic data to operate and improve the Service, processed via our service providers. This is intended to exclude Your Content (source code, conversation contents, and the contents of suggestions). You may disable analytics in settings where offered. See the Privacy Policy.

9. Updates

The Service may automatically download and install updates to function correctly and securely. You consent to these updates. We may add, change, or remove features at any time.

10. Fees and paid plans

[If the Service is free, state: "The Service is currently provided free of charge; we may introduce paid features in the future on notice."] [If paid: describe plans, billing, renewals, taxes, refunds, and that third-party AI plan costs are separate and your responsibility.]

11. Referrals and invites

Any referral or invite program is offered at our discretion and subject to [Referral Program Terms / these Terms]. We may modify, suspend, or terminate it, and may void rewards obtained through fraud, abuse, or violation of these Terms.

12. Acceptable use

You will not:

  • use the Service to violate any law or third party’s rights;
  • access data or accounts you are not authorized to access;
  • attempt to disrupt, overload, or gain unauthorized access to the Service or related systems; or
  • use the Service to develop or operate malware or to harm others.

13. Feedback

If you give us feedback or suggestions, you grant Blume a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

14. Intellectual property

The Service, including its software, design, and trademarks, is owned by Blume or its licensors and protected by law. Except for the license in Section 3, no rights are granted to you. All third-party names and marks are the property of their respective owners.

15. Disclaimers

16. Limitation of liability

17. Indemnification

You will indemnify and hold harmless Blume from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party rights.

18. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, including for violation of these Terms. Sections that by their nature should survive (including 4–8, 13–19) survive termination.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial.

20. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, additional notice. Your continued use after changes take effect constitutes acceptance.
